This packet consolidates DaiM’s Terms & Conditions, Privacy Policy (CCPA & GDPR-ready), Cookie Policy, Confidentiality Statement, E-Signature Agreement, Signature Audit Trail Policy, and DocuSign-style Certificate.
Terms & Conditions and User Agreement
1. Acceptance of Terms
By creating an account, accessing, or using the DaiM platform (“Service”), you agree to be bound by these Terms & Conditions, our Privacy Policy, and all applicable laws and regulations, including California law and the California Consumer Privacy Act (CCPA). If you do not agree, do not use the Service.
2. Nature of Services
DaiM provides AI-assisted tools for divorce mediation, communication, issue-tracking, and agreement drafting. DaiM is not a law firm, does not provide legal advice, and no attorney-client relationship is formed. Users are solely responsible for obtaining independent legal review of any draft output.
3. User Roles
The Service supports four roles: (a) Party A; (b) Party B; (c) optional human Mediator/Manager overseeing progress; and (d) the AI Mediator which produces structured prompts and suggested language. Users must ensure information they provide is accurate and lawful.
4. Eligibility
You must be at least 18 years old, have legal capacity to contract, and use the Service for lawful mediation purposes. We may suspend or terminate access for non-compliance, abuse, or fraud.
5. No Legal Representation or Guarantees
Outputs may reference general legal concepts and public rules or cases; however, they are not legal advice, may be incomplete or jurisdictionally inapplicable, and no outcome is guaranteed. Courts and agencies may reject or modify any draft. Seek a licensed attorney for legal advice.
6. User Responsibilities
You agree to provide truthful information; maintain account security; refrain from harassment, coercion, and fraud; comply with applicable laws; and use AI outputs responsibly. You are responsible for reviewing all drafts before use, execution, or filing.
7. Confidentiality & Data Use
DaiM protects the confidentiality of mediation content and stores data securely. Data is used to operate the Service, generate drafts, maintain audit trails, improve quality, and comply with law. DaiM does not sell personal data.
8. CCPA Notice of Rights (California)
California residents have the right to know/access specific pieces and categories of personal information we collect, the sources, purposes, and categories of third parties; to request deletion (subject to lawful exceptions); to correct inaccurate data; and to be free from discrimination for exercising CCPA rights.
9. GDPR Readiness (If Applicable)
Where GDPR applies, processing bases may include consent, performance of a contract, compliance with legal obligations, and legitimate interests (e.g., security, fraud prevention). Users may have rights to access, rectify, erase, restrict processing, object, and data portability.
10. Data Storage & Security
We store data on U.S.-based encrypted infrastructure. Security controls include TLS in transit, encryption at rest, role-based access control, logging, and monitoring. We maintain reasonable administrative, technical, and physical safeguards designed to protect information.
11. Payments, Billing & Access Control
11.1 Couple One-Time Case Fee
Each participating spouse in a mediation case shall be charged a one-time case fee in equal amounts, payable upon initiating access to the DaiM mediation session.
This one-time payment provides:
- Unlimited AI-facilitated communication sessions for that specific case only.
- Document drafting for that case, including Marital Settlement Agreements and Parenting Plans.
Even though user accounts and historical data may remain stored within the system, any new case initiated in the future shall require a new one-time case fee from both parties, regardless of prior payments. All one-time case payments are non-refundable once the mediation session has commenced.
11.2 Mediator Subscription Billing
Mediators are billed under a recurring subscription model, based on the selected subscription term (monthly or annual). The subscription renews automatically unless properly canceled prior to the renewal date.
11.3 Grace Period & Continued Access After Non-Payment
If a mediator’s subscription term expires and no renewal payment is successfully processed, and no cancellation has been submitted, the mediator will automatically be placed into a fourteen (14) day grace period under the same billing conditions as the prior subscription term.
During this fourteen (14) day grace period:
- The mediator shall retain full, unrestricted access to the DaiM platform.
- The mediator may continue monitoring cases and communications without limitation.
11.4 Past Due Status & Access Restriction
If payment is not received by the end of the fourteen (14) day grace period, the subscription shall be formally marked as “Past Due.”
Once in Past Due status, mediator access shall be restricted strictly to viewing and exporting drafts of final documents for existing cases.
The mediator shall not have the ability to:
- Continue or reopen chat communication between parties.
- Initiate new mediation cases.
- Access real-time monitoring tools.
11.5 Reinstatement After Past Due
If a mediator elects to renew a subscription after it has entered Past Due status, the mediator shall be billed for the new subscription period, plus the outstanding fourteen (14) day grace period balance. Access shall be restored only upon full settlement of all outstanding balances.
12. Dispute Resolution (Amicable → Arbitration)
Users agree to first attempt resolution through DaiM support. If unresolved, disputes shall be submitted to mandatory arbitration under the state law of the appropriate venue of the users. Class actions and jury trials are waived to the extent permitted by law.
13. Limitation of Liability
To the fullest extent permitted by law, DaiM and Sage Forum Inc. are not liable for indirect, incidental, special, consequential, or punitive damages; errors in AI outputs; or reliance damages. Maximum aggregate liability shall not exceed the total fees paid by you to DaiM in the 12 months preceding the claim.
14. Indemnification
You agree to defend, indemnify, and hold harmless Sage Forum Inc. and its officers, directors, employees, and agents from claims arising out of your misuse of the Service, breach of these Terms, or violation of law.
15. Termination & Suspension
We may suspend or terminate accounts for any breach, fraud, abuse, or to comply with legal obligations. Upon termination, access ceases and data will be retained or deleted per law and our retention schedule.
16. Modifications
We may update these Terms. Material changes will be notified in-app or by email. Continued use after the effective date constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of the State of California, excluding conflict-of-law rules.
18. Third-Party Processors
To deliver core features, certain information may be securely processed by our trusted vendors (Sub-processors). Data is shared strictly for the purpose of providing the Service.
- OpenAI: For AI-assisted drafting and mediation logic.
- DocuSign: For secure e-signature execution.
- Cloud Infrastructure: (e.g., Railway, Cloudflare) For secure hosting, DNS, and DDoS protection.
- Google Analytics: For analyzing aggregate website traffic and user behavior patterns to improve the service. IP addresses are anonymized where possible.
19. Acknowledgment & Acceptance
By clicking "I Agree", you acknowledge you have read and understood these Terms, accept the limitations of AI, and consent to electronic contracting.
Privacy Policy (CCPA + GDPR-Ready)
DaiM ("we," "us," "our") respects your privacy and is committed to protecting personal information. This Privacy Policy explains what we collect, why we collect it, how we use and share it, how we secure it, and the rights you may have.
1. Categories of Information We Collect
We collect only the data necessary to facilitate the mediation process and secure your account:
- Identifiers: name, email, optional phone, account ID, IP address (for security logging).
- Mediation & Case Data: information entered by parties/mediators (assets, debts, children details), uploaded documents, AI prompts/responses, and case progress history.
- Commercial Data: transaction confirmation details (we do not store full credit card numbers).
- Signature & Consent Data: e-signature status, consent timestamps, audit logs, agreement versions.
- Usage Data: Aggregate, anonymous data about how you navigate the site (only if analytics consent is granted).
2. Sources of Information
Directly from users; from user devices through strictly necessary security cookies; and from payment providers for transaction confirmation.
3. Purposes of Processing
To operate and secure the Service; facilitate mediation; generate AI-assisted drafts; execute documents; provide support; maintain audit trails; and comply with legal obligations.
4. No Sale or Sharing for Marketing
We do not sell personal information. We do not share data for targeted advertising or cross-context behavioral advertising. We do not use third-party marketing trackers.
5. Disclosure to Service Providers & Processors
We disclose the minimum necessary data to vetted processors solely for technical operation. See Section 18 of the Terms & Conditions for the full list of processors. All service providers are contractually prohibited from using data for marketing or purposes other than providing the Service to DaiM.
6. Data Retention
We retain personal information for as long as needed to fulfill the purposes, comply with legal/regulatory obligations, resolve disputes, and maintain records (e.g., e-signature logs).
7. Security Measures
TLS encryption in transit; encryption at rest; role-based access; need-to-know employee access; logging and monitoring; regular reviews of access privileges; secure key management; and incident response procedures.
8. Your CCPA Rights (California Residents)
Right to Know/Access; Right to Delete (subject to exceptions); Right to Correct; Right to Non-Discrimination. To submit a request, email info@sageforumdev.com. We will verify your identity before fulfilling a request.
9. GDPR Rights (Where Applicable)
Right of access, rectification, erasure, restriction, portability, and to object to certain processing. If processing is based on consent, you may withdraw consent at any time without affecting prior processing.
10. International Transfers
Data is stored and processed in the United States. If GDPR applies, we use appropriate safeguards (e.g., SCCs) for any cross-border transfers.
11. Children’s Privacy
The Service is intended for users 18+. We do not knowingly collect information from children. If we learn of such collection, we will delete it.
12. Changes to this Policy
We may update this Policy. We will provide notice of material changes. Your continued use after changes become effective means you accept the updated Policy.
Confidentiality & Protected Mediation Information Statement
DaiM treats all mediation content as confidential and applies controls comparable to HIPAA-aligned practices, though DaiM is not a covered entity and HIPAA does not directly apply. Protected Mediation Information (PMI) includes personal data, family details, financial disclosures, custody matters, messages, notes, documents, and AI-generated drafts.
Use & Disclosure Limits
PMI is used only to provide mediation services, generate drafts, secure accounts, and comply with law. We restrict employee access, maintain confidentiality agreements, and disclose only with user consent or as required by law/court order (minimum necessary).
Service Provider Clause
All information provided within the DaiM platform may be securely transmitted to and processed by DocuSign, OpenAI, and our secure cloud infrastructure providers for the sole purpose of AI-assisted mediation, agreement preparation, and secure digital execution. No information is shared for advertising or unrelated purposes.
Electronic Signature Agreement (ESIGN & UETA)
By signing electronically and/or clicking “I Agree,” you consent to the use of electronic signatures and records under the U.S. ESIGN Act, UETA, and applicable California law. You acknowledge DaiM is an AI-assisted mediation platform and not legal counsel. You may obtain paper copies upon request, and you may withdraw consent where permitted by law (which may affect your ability to use certain features).
Note: This agreement is activated upon account creation and during document execution.
Signature Audit Trail & Recordkeeping Policy
DaiM maintains an electronic audit trail for executed agreements and consents. The audit trail may include:
- User name and account identifier
- Email address associated with the account
- Authentication and session events
- IP address and approximate geolocation (not GPS)
- Device/browser identifiers
- Timestamps of consent and signature actions
- Agreement or document version identifiers
- Method of consent (click-wrap, typed signature, digital certificate)
We retain audit logs for the period required by law and internal compliance policies. Electronic records have the same force and effect as paper records and may be used to evidence consent or enforce agreements.
Data Retention Schedule (Summary)
- Mediation Content: retained for the life of the matter plus a default period of up to 5 years unless a shorter/longer period is required by law or user contract.
- Signature & Audit Logs: retained for up to 7 years to preserve legal validity of executed agreements, unless law requires longer retention.
- Operational Logs: rotated and retained for security and compliance per industry practice (typically 90–365 days).
Upon expiration of retention periods, data is securely deleted or de-identified unless subject to litigation holds or legal preservation orders.
